1. Acceptance of Terms

By accessing or using Adnity Marketing's website (adnity.in) and services, you agree to be bound by these Terms & Conditions. If you disagree with any part, please do not use our services.

2. Services

Adnity Marketing provides digital marketing services including but not limited to:

• Search Engine Optimization (SEO)
• Google Ads & Meta Ads Management
• Social Media Marketing
• Website Design & Development
• CRM Development
• Marketing Automation

3. Use of Services

3.1 Eligibility

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you meet this requirement.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

4. Payment Terms

• Service fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST)
• Monthly retainer services are billed in advance at the start of each billing cycle
• One-time project payments follow milestone-based schedules as outlined in the proposal
• Late payments may incur a 1.5% monthly interest charge
• Ad spend (Google Ads, Meta Ads) is separate from management fees and paid directly to the platforms

5. Refund Policy

• Monthly retainer services can be cancelled with 30 days written notice
• No refunds for partial months of service
• Setup fees are non-refundable once work has begun
• Refunds for development projects are subject to milestones completed

6. Client Responsibilities

To deliver effective services, we require:

• Timely communication and responses to our queries
• Access to necessary platforms, accounts, and assets
• Provision of accurate business and product information
• Timely payment as per agreed terms

7. Intellectual Property

All content created by Adnity Marketing for clients (designs, code, content) becomes the property of the client upon full payment. Adnity retains rights to:

• Use the work for portfolio and marketing purposes
• Reuse general methodologies and frameworks
• Pre-existing tools, scripts, and templates

8. Confidentiality

Both parties agree to maintain confidentiality of any sensitive business information shared during the engagement. We sign NDAs upon request.

9. Service Disclaimer

While we use our best efforts and industry expertise to deliver results, we cannot guarantee specific outcomes such as:

• Specific search engine rankings
• Specific conversion rates or sales numbers
• Specific traffic volumes

Performance depends on many factors including market conditions, competition, product quality, and platform algorithms beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Adnity Marketing shall not be liable for any indirect, incidental, special, or consequential damages arising from our services. Our maximum liability shall not exceed the amount paid by you for our services in the past three months.

11. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

• Outstanding fees become immediately due
• Client retains all deliverables completed
• We will provide a smooth handover of credentials and assets

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be resolved in the courts of Delhi, India.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of the modified Terms.
